Definitions
FLM System – cloud-based software enabling the Service Provider to perform the Service, intended for: (i) users to utilize FLM System functions, and (ii) League Organizers to create Leagues, register League Users, and administer a portion of their permissions within FLM System functions, as well as to use other functions supporting the processes of League Organizers. FLM System is accessible to individuals with Internet connectivity via Access Devices. Detailed functions of FLM System are specified in instructions or directly within the FLM System platform. The Service Provider reserves the right to modify FLM System or its individual functions (including the domain under which it is available) at any time, particularly for the purpose of its further development and improvement.
Team registration form – a form made available within a given League Organizer's league (on its site/subdomain) through which a Manager registers a team and enters the data of its players.
Price List – an offer presenting a comparison of the capabilities and prices of FLM System Subscription Plans and value-added services offered by the Service Provider, available at https://www.flmsystem.com/#pricing.
User Account – a set of resources and permissions available within FLM System assigned to a specific FLM System User. An FLM System User may be a League Organizer, a Referee, or a Manager.
Referee – an entity utilizing FLM System functions intended for a given Referee.
Manager – an entity utilizing FLM System functions intended for a given Manager.
Applicable Law – local legal regulations applicable to the Service Provider's operations.
Subscription Period – the period of FLM System operation for which the Subscription Fee has been paid.
Payment Operator – an entity mediating the transfer of payment funds, including, in particular, banks, settlement agents, entities operating payment systems, Card Organizations, and electronic money institutions.
Subscription Fee – the total fee for using FLM System in the amount specified in the Price List for a given Subscription Plan.
League Organizer – an entity utilizing FLM System functions intended for league organizers.
GTC – the Terms of Use, also referred to as the General Terms and Conditions.
Subscription Plan – a variant of FLM System operation (active FLM System functions).
Data Protection Law – regulations on the protection of personal data binding upon the Service Provider in accordance with the scope indicated by Applicable Law.
League Participants – natural persons participating in the competitions of a given league, entered into FLM System by the League Organizer or registered in FLM System via the team registration form (including by a Manager acting within a given League Organizer's league).
Access Devices – devices capable of connecting to the Internet through which the connection and use of FLM System occur. The list of web browsers or applications compatible with FLM System, as well as the rules for their configuration and the configuration of network devices, is described in detailed instructions in each instance. The Service Provider ensures FLM System compatibility only with the latest versions of the most popular web browsers.
Service – a performance carried out by the Service Provider in its own name and on its own account.
Service Provider, We – depending on the context, FINGOWEB SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ SPÓŁKA KOMANDYTOWA, doing business as Fingoweb (us, we, our), a company registered in Poland at Ostatnia 1C/B14, Kraków 31-444. Our VAT number is 9452221968.
1. General Regulations
- The Service Provider shall ensure the highest possible availability of FLM System, including the swiftest possible resolution of FLM System failures. Maintenance work will be conducted at night whenever possible.
- The User is obliged to use FLM System in a manner consistent with its intended purpose, which does not negatively impact FLM System, does not cause disruptions in its operation, and is compliant with the law and good customs.
- All rights to FLM System remain the property of the Service Provider. The User is prohibited from copying, modifying, decompiling, reverse engineering, or distributing FLM System or any of its components.
- The Service Provider shall be liable for damage to Access Devices or the software contained therein, and for the loss of the User's data on the Access Device as a result of using FLM System, only and exclusively if such damage arises through the sole fault of the Service Provider.
- If any part of these GTC is deemed invalid by a court or other authorized body, the remaining parts of these GTC shall continue to be considered fully effective and binding on the parties.
- The Service Provider reserves the right to amend these GTC and the method of using FLM System. Users will be notified of any changes via the website and by email sent to their registered addresses. The Service Provider shall ensure that the GTC are continuously available for review on the website.
- Upon being notified of changes to the GTC, the User has the right to submit a statement of acceptance or rejection of said changes. Such a statement must be submitted in documentary form to the Service Provider's registered office or by email to the address provided on the website, within 30 days from the date of notification.
- Submission of a statement of rejection shall automatically result in the termination of the User's right to use FLM System and the blocking of their account at the end of the paid Subscription Period. In such cases, the procedure described in the chapter "Termination of the Cooperation Agreement" will apply.
- If a User fails to submit any statement within the time limit specified in section 7 above, in the case of the League Organizer or the Manager, it shall be deemed that they have accepted the changes to the GTC.
2. Complaints
- Problems and comments related to the operation of FLM System may be reported by the User to the email address provided in FLM System.
- A complaint notification will be considered by the Service Provider within a period not exceeding 14 days from the date of the complaint notification; however, the right to submit a complaint shall not apply if more than 30 days have elapsed from the date on which the event serving as the basis for the complaint occurred. In situations where cooperation between the Service Provider and third parties (e.g., Payment Operators, etc.) is required to clarify the matter, the deadline for considering the complaint may be extended to 30 days.
3. Detailed Conditions for Use of FLM System by the League Organizer, Referee or Manager
- Use of FLM System by the League Organizer takes place on the basis of a cooperation agreement concluded between the Service Provider and the League Organizer through electronic registration of the League Organizer's account in FLM System, acceptance of the GTC, payment of due fees for the use of FLM System, as well as on the basis of other legal relationships connecting the parties.
- Before using FLM System, the League Organizer is obliged to familiarize themselves with the GTC. During registration in FLM System, the League Organizer provides their identification data. For full utilization of FLM System, it is necessary to add parameters essential for the proper use of FLM System in accordance with its intended purpose.
- The League Organizer entrusts the Service Provider with the processing of personal data of the League Participants within the scope and on the terms specified below. The Service Provider is authorized on this basis to process personal data on behalf of the League Organizer solely for the purpose of the League Organizer's use of FLM System and in the manner specified below.
- Using FLM System requires the availability of services for which the League Organizer is independently responsible (in particular, Internet connectivity) and possession of a functioning Access Device.
- The League Organizer may not allow third parties not acting on their behalf to access FLM System. The League Organizer is solely responsible for the confidentiality and security of their FLM System account. They are obliged to immediately inform the Service Provider of any unauthorized use of their account by third parties.
- The League Organizer may grant a Referee or Manager access to the League via FLM System. The League Organizer shall enter the Referee's or Manager's personal data into the relevant FLM System functionalities. The League Organizer is solely responsible for the accuracy of the provided data.
- The Referee or the Manager uses the FLM System at the invitation of the League Organizer. The League Organizer is fully liable for the actions of the Referee or the Manager within the FLM System, as well as for making the account available to the Referee or the Manager.
- Referees and Managers may use FLM System within the scope of the functionalities provided by the Service Provider.
- A Manager may also obtain access to FLM System by independently registering a team via the team registration form made available within a given League Organizer's league (on its site/subdomain). Making the team registration form available within its league constitutes the League Organizer's instruction to process the data of teams registered in this way; the controller of such data, including players' data, remains the League Organizer, and the Service Provider processes it as a processor, on its behalf. The controller's identity and contact details are presented at the form. During registration, the Manager creates a User Account and accepts the GTC and the Privacy Policy, and represents that they are authorised to provide the personal data of the team's players. The League Organizer is liable for the actions of a Manager who registered a team within its league, on the terms set out in section 7.
4. Fees
- The Service Provider makes FLM System available to the League Organizer primarily for a fee (unless the League Organizer holds non-profit status as set out in the Price List).
- The costs incurred by the League Organizer for using FLM System depend on the Subscription Plan set out in the Price List that they select or an individually prepared and priced offer by the Service Provider for the League Organizer. The League Organizer always bears the costs of data transmission associated with the use of the Access Device on their own, in accordance with the rules of the Internet access service provider whose services the League Organizer uses.
- The Service Provider reserves the right to include any additional paid and free functions in FLM System in the future, whereby such functions will always be clearly and unambiguously described so that no doubt arises as to which elements of FLM System can be used free of charge and which for a fee. All standard Subscription Plans and additional paid services related to the provided FLM System will be included in the current Price List.
- The Service Provider may periodically provide League Organizers with paid FLM System functions at a reduced price for promotional purposes or free of charge for testing purposes (limited in time).
- Subscription Fees are paid in advance for consecutive 30-day periods, unless the Service Provider and the League Organizer have separately agreed on a different payment procedure.
- The Subscription Period lasts 30 calendar days.
- The Subscription Fee can be paid via bank transfer, credit or debit card payment, and electronic online payment systems.
- By choosing a credit or debit card as the method of paying the Subscription Fee, the League Organizer simultaneously agrees to the automatic charging of their credit card or bank account for the full amount of fees due in a given Subscription Period. Simultaneously, the League Organizer consents to the Service Provider's use of external third-party intermediaries in payment processes, as well as the lawful disclosure of transaction data to these entities.
- If a credit or debit card is chosen as the method of paying the Subscription Fee, the fee for each subsequent Subscription Period will be collected automatically until the League Organizer notifies their intention to cancel the subscription. Such cancellation may be notified via the appropriate functionality within the League Organizer panel, in writing to the Service Provider's registered office address or via email correspondence to the Service Provider's address. The cancellation notice must be effectively delivered to the Service Provider at least 7 days before the start of a new Subscription Period.
- If the Subscription Fee is paid by transfer, the Service Provider will activate the paid Subscription Plan or additional services within a maximum of 3 business days after the transfer is credited to the Service Provider's bank account.
- Any changes to the Price List and Subscription Plans will be announced on the website and sent to the League Organizer at the email address provided during registration. New prices will apply to the League Organizer starting from the next Subscription Period. The League Organizer may terminate the use of FLM System if they do not accept a change to the Price List or a change to the Subscription Plans.
- Failure to settle the Subscription Fee within the deadline indicated on the pro forma invoice results in the automatic blocking of the League Organizer's access to FLM System. The day the Subscription Fee is paid is considered the day the Service Provider's bank account is credited.
5. Obligations of the League Organizer
- The League Organizer is obliged to provide their identification data in a truthful and complete manner. The League Organizer is obliged to update this data immediately after the cause for change arises, without any request from the Service Provider. Providing correct data is essential for the proper provision of services. Personal data of League Participants made available to the Service Provider within the league of the given League Organizer constitutes a separate personal data set from the set of private personal data of Users provided upon activating the User Account.
- The League Organizer may not allow third parties access to their FLM System account. The League Organizer is solely responsible for the confidentiality and security of their account. They are obliged to immediately inform the Service Provider of any unauthorized use of their account by third parties.
- The League Organizer is obliged to timely settle all liabilities toward the Service Provider which they are obligated to pay in accordance with the concluded agreement and the Price List.
6. Liability of the Service Provider toward the League Organizer
- The Service Provider is not liable for any damages incurred by the League Organizer or third parties as a result of using FLM System, nor for damages incurred by the League Organizer or third parties in connection with their violation of the GTC binding upon them. In particular, the Service Provider shall not be held liable for damages resulting from the use or inability to use FLM System, the League Organizer's lost profits, damages arising following the loss or modification of the League Organizer's data, or any other damages arising following failure to comply with the provisions of the GTC.
- The Service Provider's liability toward the League Organizer (regardless of the basis of its origin) is always limited to the value of the actual damage.
- The Service Provider is not responsible for the quality or correctness of the work performed by the League Organizer in FLM System.
7. Rules for Processing Personal Data
- The Service Provider and the League Organizer are obliged to comply with the provisions of Applicable Law, in particular Data Protection Law.
- The Service Provider ensures proper protection of the personal data of League Participants. All personal data provided within the league of the given League Organizer will be collected, stored, and processed in accordance with the principles of Data Protection Law.
- Detailed information regarding the processing of personal data is provided in the Privacy Policy and the Data Processing Agreement, which constitutes an integral part of the League Organizer's GTC.
- Personal data of League Participants made available to the Service Provider within the league of the given League Organizer in connection with the use of FLM System may be processed solely in connection with the provision of services within the use of FLM System in accordance with the provisions of the GTC and the rules for processing personal data specified in the provisions of Applicable Law.
8. Termination of the Cooperation Agreement
- Unless the Service Provider and the User have agreed otherwise, the cooperation agreement concluded in accordance with these GTC is effective for an indefinite period and may be terminated at any time by both parties in documentary form under penalty of nullity and without stating reasons, with the effect of terminating the agreement after two (2) business days from the date of delivery of the termination notice.
- The agreement terminates automatically, without the need to submit a termination notice, when:
2.1. The League Organizer terminates or suspends their business activity;
2.2. The League Organizer goes into liquidation or is struck off the relevant register.
- In the event of non-performance or improper performance of obligations resulting from the agreements connecting the parties, and in particular the GTC, the User may have their access and ability to use FLM System temporarily or permanently blocked. The User shall not be entitled to any claims on this account.
9. Governing Law and Dispute Resolution
- This Agreement shall be governed by and construed in accordance with the laws of Poland.
- Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Service Provider's registered office.
These GTC are effective from 10 June 2026.
